Does my LLC annual report notice come by mail?

In most states, yes: the secretary of state sends annual report reminders to the mailing address on file for your LLC, often months before the due date. But the notice is a courtesy, not a legal requirement, so missing it does not excuse a late filing. Keep your registered agent address current, because that is where official mail actually goes.

Who actually sends the notice?

The sender is usually the secretary of state office (or the equivalent business registry) in the state where your LLC was formed. Some states send a paper reminder; others send email only, and a few send nothing at all. The reminder normally lists your entity name, your filing window, and the fee. It rarely explains the consequences of filing late, which can include penalties, loss of good standing, and eventually administrative dissolution.

One detail catches owners off guard: the reminder goes to the address the state has on record, not to wherever you happen to live now. If you moved and never updated your records, the notice may sit in an old mailbox while your deadline passes. States treat the filing duty as yours regardless of whether their reminder reached you.

What is the registered agent's role in this mail?

Every LLC must name a registered agent: a person or company with a physical address in the formation state who accepts legal and official mail during business hours. The secretary of state sends many notices to the registered agent's address rather than to the owner's home or office. If you hired a commercial registered agent, that company usually forwards the notice to you, sometimes with its own reminder and a deadline of its own.

If you act as your own registered agent, the notice comes straight to you, and there is no middleman to catch a missed delivery. That is a real trade-off: saving the agent fee means you own the full job of watching the mailbox and the calendar. Either way, check the address on file at least once a year, ideally when you do your taxes.

Does the notice arrive in every state?

No. Filing calendars differ a lot. Some states require an annual report every year, some every two years, and a few require none at all. Due dates vary too: some states use the anniversary of formation, others use a fixed calendar date, and others use the end of a fiscal period. A reminder system built for one pattern will not fit another, which is why a generic "annual notice" expectation can mislead owners with LLCs in several states.

There is also a second trap. Many private companies sell "compliance reminder" services that look like official state mail. Their envelopes often carry urgent language and a fee far above the state's own filing fee. Before paying anything that arrives by mail, check the sender: a genuine state notice comes from a government office and points you to the state's own filing portal, not to a private checkout page.

What happens if I never get the notice?

The filing deadline still applies. States generally do not accept "I never got the letter" as a defense against a late fee. The practical fix is boring but effective: put the due date in your own calendar the day you form the LLC, and again each year after you file. Do not depend on any single piece of mail, email, or agent reminder as your only trigger.

If you suspect a notice went astray, search the secretary of state business database for your LLC. Most states let you look up your entity status and due date online for free. If the status already shows delinquent, file as soon as you can: in many states the penalty grows with time, and a dissolved LLC can lose its liability protection until it is reinstated.

Can LetterAgent mail something to the secretary of state for me?

LetterAgent mails letters to US and Canadian addresses, so a letter to a secretary of state office is within its reach. But most annual reports are filed online through the state's portal, not by mailed paper, so a mailed letter is rarely the right tool for the filing itself. Where a mailed letter does fit is the correspondence around it: a written address update, a reinstatement inquiry, or a records request. Describe the letter to your AI assistant, approve the quoted price, and it is printed and mailed.
